Agreement to Terms
By accessing or using Neutryon's website and services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services. These terms constitute a legally binding agreement between you and Neutryon.
1. Acceptance and Modifications
1.1 Binding Agreement:
These Terms and Conditions constitute a legally binding agreement. Your use of our services indicates full acceptance of all terms, conditions, and policies referenced herein.
1.2 Right to Modify:
Neutryon reserves the absolute right to modify, update, or change these Terms at any time without prior notice. Changes become effective immediately upon posting. Your continued use after modifications constitutes acceptance of the revised terms. We recommend reviewing these terms periodically.
2. Service Description and Availability
2.1 Services Provided:
Neutryon provides technology solutions including but not limited to AI & Machine Learning services, software development, data analytics, cloud solutions, and IT consulting. Service specifications, deliverables, and timelines are defined in separate service agreements.
2.2 Service Availability:
We strive to maintain uninterrupted service availability but do not guarantee continuous, error-free, or secure operation. We reserve the right to suspend, modify, or discontinue services at any time without liability. Scheduled maintenance will be performed with reasonable advance notice when possible.
2.3 No Warranty:
Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for particular purpose, or non-infringement.
3. User Responsibilities and Conduct
By using our services, you agree to:
- Provide accurate, complete, and current information
- Maintain the confidentiality of any account credentials
- Use services only for lawful purposes and in compliance with all applicable laws
- Not interfere with or disrupt our services or servers
- Not attempt unauthorized access to any part of our systems
- Not transmit viruses, malware, or harmful code
- Not engage in any activity that violates intellectual property rights
- Not use services for fraudulent or malicious purposes
Violation of these obligations may result in immediate termination of access without refund or liability.
4. Intellectual Property Rights
4.1 Ownership:
All content, materials, software, code, designs, trademarks, logos, and intellectual property on this website and in our services are the exclusive property of Neutryon and protected by international copyright, trademark, and intellectual property laws.
4.2 Restrictions:
You may not copy, reproduce, modify, distribute, display, perform, publish, license, create derivative works from, or sell any content or materials without our express written permission. Unauthorized use will be prosecuted to the fullest extent of the law.
4.3 Client Work Product:
Rights to deliverables created specifically for clients under service agreements will be defined in separate written contracts. Unless explicitly stated otherwise, Neutryon retains all intellectual property rights to methodologies, tools, and frameworks used in service delivery.
5. Payment and Fees
5.1 Payment Obligations:
All fees are due as specified in service agreements. Payment terms, schedules, and methods will be outlined in separate contracts. Failure to pay may result in service suspension or termination.
5.2 No Refunds:
All payments are final and non-refundable unless explicitly stated otherwise in writing. Services rendered, time spent, and resources allocated are non-recoverable.
5.3 Price Changes:
We reserve the right to change pricing at any time. Price changes will not affect ongoing contracts but will apply to new engagements or renewals.
6. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Neutryon shall NOT be liable for ANY indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, data, revenue, or business opportunities.
- Our total liability for ANY claims arising from services shall NOT exceed the total amount paid by you to Neutryon in the 12 months preceding the claim.
- We are NOT liable for delays, failures, or interruptions caused by circumstances beyond our reasonable control.
- We are NOT responsible for third-party services, products, or content accessed through our services.
- We make NO guarantees regarding specific results, outcomes, or performance from using our services.
BY USING OUR SERVICES, YOU ACKNOWLEDGE AND ACCEPT THESE LIMITATIONS OF LIABILITY.
7. Indemnification
You agree to indemnify, defend, and hold harmless Neutryon, its officers, directors, employees, contractors, and agents from and against ANY and ALL claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from:
- Your use or misuse of our services
- Your violation of these Terms and Conditions
- Your violation of any law or third-party rights
- Any content or information you provide to us
- Your negligence or willful misconduct
This indemnification obligation survives termination of your use of our services.
8. Confidentiality
Both parties acknowledge that they may have access to confidential information. You agree not to disclose, use, or reproduce any confidential information received from Neutryon without express written permission. Confidential information includes but is not limited to:
- Business strategies, methods, and processes
- Technical data, source code, and algorithms
- Client lists and business relationships
- Pricing, proposals, and financial information
- Any information marked as confidential or proprietary
9. Termination
9.1 Right to Terminate:
We reserve the right to suspend or terminate your access to our services at any time, for any reason, with or without notice, and without liability. Reasons for termination may include but are not limited to:
- Violation of these Terms and Conditions
- Non-payment of fees
- Fraudulent, abusive, or illegal activity
- Breach of confidentiality
- At our sole discretion
9.2 Effect of Termination:
Upon termination, your right to use our services immediately ceases. All provisions that by their nature should survive termination will survive, including liability limitations, indemnification, and dispute resolution.
10. Governing Law and Dispute Resolution
10.1 Governing Law:
These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction where Neutryon operates, without regard to conflict of law principles.
10.2 Dispute Resolution:
Any disputes arising from these Terms or use of services shall be resolved through binding arbitration in accordance with commercial arbitration rules. You waive any right to a jury trial or class action.
10.3 Jurisdiction:
You consent to the exclusive jurisdiction and venue of courts in our operating location for any matters not subject to arbitration.
11. Severability and Entire Agreement
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and Neutryon.
12. Force Majeure
Neutryon shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, government actions, natural disasters, internet failures, or power outages.
